Director appointment is the formal process of adding a new individual to a company's Board of Directors. Changes in directorship are necessary during business growth, succession planning, compliance with statutory requirements (e.g., mandatory woman director), or when expertise gaps need to be filled. The process is governed by Sections 149, 152, and 161 of the Companies Act, 2013.

The new director must hold a Director Identification Number (DIN), sign a consent letter (Form DIR-2), and the appointment must be intimated to the ROC via Form DIR-12 within 30 days.

Qualification Requirements for Directors

  • Minimum age: 18 years

Frequently Asked Questions

A Director Identification Number (DIN) is a unique 8-digit identifier issued by MCA to every director. It is mandatory for anyone being appointed as a director of any company in India, and no one can act as director without a valid DIN.

Form DIR-2 is the Director's written consent to act as a director of the company. It also includes a declaration that the person is not disqualified from being appointed as a director under Section 164.

Form DIR-12 (intimating the ROC about director appointment) must be filed within 30 days of the date of appointment. Late filing attracts multiplied fees.

A private limited company must have a minimum of 2 directors and can have a maximum of 15 directors. Exceeding 15 requires a Special Resolution passed by 75%+ of shareholders.

An Additional Director is appointed by the Board between two AGMs under Section 161. They hold office only until the next AGM, where they must be formally appointed as regular directors by shareholders.
